Effective as of July 1, 2025
This Member Agreement and Code of Conduct (the “Agreement”) is entered into by and between Greater Purpose Inc., a corporation registered under the Canada Business Corporations Act (“GP”), and the Member (the “Member” or “Company”), upon completion of the membership application process and acceptance by GP.
By joining Greater Purpose, the Member acknowledges that they have read, understood, and agreed to the terms set forth herein, including the behavioral standards applicable to all individuals associated with the Member.
1. Membership Overview
1.1 Purpose
Greater Purpose is a professional membership network established to support businesses committed to integrating social purpose into their operations and supporting their leaders in this process. This Agreement outlines the rights, obligations, responsibilities, and behavioral standards of Members in relation to GP’s mission and activities.
1.2 Eligibility
Membership is open to legally registered companies and organizations that align with GP’s mission, values, and objectives. GP reserves the right to assess and approve membership applications at its sole discretion.
1.3 Membership Term
The standard membership term is for a period of one (1) year from the date of acceptance, unless otherwise specified. Membership renewal is subject to payment of applicable fees and continued compliance with this Agreement.
1.4 Renewal
Memberships do not automatically renew unless specified. GP will issue renewal notices at least thirty (30) days prior to expiration. Members must complete the renewal process and submit payment to maintain continuous access to benefits.
2. Membership Participation
2.1 Membership Benefits
GP provides a range of benefits to Members, including branding tools, event access, networking opportunities, and professional development resources. Membership does not constitute an endorsement, certification, or guarantee of a Member’s business practices.
2.2 Modification of Benefits
GP reserves the right to modify, enhance, or discontinue any membership benefits at its discretion. GP will provide reasonable notice regarding significant modifications.
3. Member Responsibilities
3.1 General Obligations
The Member agrees to: - Act in good faith in all dealings with GP and other Members. - Refrain from misrepresentation or false advertising of their membership status. - Comply with all applicable laws and regulations. - Participate in benchmarking or self-assessment activities as requested.
3.2 Ethical and Professional Conduct
Members shall conduct themselves and ensure that their representatives conduct themselves in a manner that upholds the integrity, mission, and values of GP, including: - Fair, transparent dealings. - Respectful and professional interactions.
3.3 Prohibited Activities
Members and their representatives shall not: - Use membership to engage in misleading or deceptive marketing. - Engage in conduct that harms or diminishes the reputation of GP. - Use GP resources for unlawful or unethical purposes.
4. Use of Greater Purpose Brand Assets
4.1 License Grant
GP grants Members a limited, revocable, non-exclusive, non-transferable license to use the GP Trustmark and branding materials, as outlined in the Member Media Toolkit.
4.2 Use Restrictions
Members agree to: - Adhere to GP’s brand usage guidelines. - Use the Trustmark only in connection with their membership, without implying certification or accreditation. - Cease usage immediately upon membership expiration or termination.
5. Code of Conduct
5.1 Purpose
This Code of Conduct applies to all Members, their representatives, volunteers, staff, guests, and participants in GP activities. It ensures a safe, inclusive, and productive environment that fosters open dialogue, free of harassment and discrimination.
5.2 Principles of Conduct
All individuals associated with Members implicitly agree to:
- Act with integrity and professionalism
- Foster a positive, respectful, and inclusive environment
- Communicate openly and constructively
- Protect the confidentiality of sensitive or privileged information
5.3 Online Participation
Individuals must:
- Communicate respectfully in all digital engagements
- Avoid defamatory, harassing, or inflammatory comments
- Refrain from sharing confidential or misleading information
- Use organizational channels responsibly
5.4 In-Person and Virtual Events
At all events, individuals must:
- Treat others with courtesy and respect
- Refrain from harassment, intimidation, or disruption
- Follow all rules set by event organizers and venues
- Respect personal boundaries and collaborate constructively
5.5 Harassment and Inappropriate Behavior
Harassment in any form will not be tolerated, including:
- Derogatory comments based on race, gender, sexuality, religion, etc.
- Sexual harassment, unwelcome advances, inappropriate jokes
- Bullying, intimidation, threats, or aggressive behavior
5.6 Confidentiality & Conflicts of Interest
- Confidential information must not be disclosed without authorization
- Real or perceived conflicts of interest must be disclosed and mitigated
5.7 Reporting & Accountability
Violations may be reported to designated contacts or GP staff. Reports will be handled with discretion, and violations may result in warnings, event removal, suspension of membership, or legal reporting as necessary.
6. Membership Fees & Payment Terms
6.1 Membership Fees
Fees and payment schedules are set forth separately and may vary based on tier or organization size.
6.2 Payment Terms
- Fees are non-refundable except if GP fails to provide core services.
- Payment is due in full at the start of each term.
- Late payments may result in suspension.
7. Suspension & Termination
7.1 Voluntary Termination
Members may terminate their membership by providing thirty (30) days’ written notice. No refunds are issued.
7.2 Termination by GP
GP may suspend or terminate membership for:
- Failure to comply with this Agreement
- Non-payment of fees
- Harmful or unethical conduct
7.3 Appeal Process
Members may appeal a termination decision within fifteen (15) days. GP’s decision on appeals is final.
8. Limitation of Liability & Indemnification
8.1 No Guarantees
GP does not guarantee financial or business benefits from membership.
8.2 Indemnification
Members agree to indemnify GP against claims arising from their actions or misuse of GP branding.
9. Confidentiality & Data Use
9.1 Confidentiality
Members may access proprietary information and agree to maintain its confidentiality.
9.2 Data Privacy
GP may collect non-personally identifiable data for benchmarking and reporting in compliance with privacy laws.
10. Governing Law & Notices
10.1 Governing Law
This Agreement is governed by the laws of Ontario, Canada.
10.2 Notices
Formal notices must be provided in writing via email or certified mail to GP’s official contact address.
11. Amendments
GP reserves the right to update this Agreement. Members will be notified at least thirty (30) days in advance of substantive changes.
